Terms of Service

Plain English summary: Part I governs dealerships that use MyDealRecap to send deal summaries. Part II covers vehicle purchasers who receive and view those summaries. By using the platform in any capacity, you agree to these terms.

PART I — DEALERSHIP CLIENTS

Applies to dealerships, dealer groups, and their authorized employees who use the MyDealRecap platform.

1. Acceptance of Terms

By accessing or using the MyDealRecap platform ("Services"), you ("Dealer" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a dealership or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

5. Intellectual Property

MyDealRecap LLC retains all ownership and intellectual property rights in the platform, including its software, design, branding, and underlying technology. Dealership clients retain full ownership of their deal data. MyDealRecap is granted a limited, non-exclusive license to process that data solely to deliver the Services as described in these Terms and the applicable Data Processing Agreement.

6. Fees and Billing

Subscription fees, the billing cycle, and payment terms are set forth in the applicable Order Form or Founding Customer Agreement, which controls in the event of any conflict with this section. MyDealRecap may suspend access to the Services for non-payment after providing written notice and a reasonable opportunity to cure the outstanding balance. Reinstatement requires resolution of the outstanding balance. No refunds are issued for partial billing periods.

Multi-location dealer groups receive group pricing as specified in their executed Order Form. Pricing is subject to change with 60 days' written notice.

7. Termination

Either party may terminate the service relationship with 30 days' written notice. MyDealRecap may terminate or suspend access immediately for: material breach of these Terms, fraudulent activity, non-payment beyond the grace period, or any use that exposes MyDealRecap or its customers to legal liability.

Upon termination, dealership access to the platform is disabled. Consumer deal pages remain accessible for 6 months following termination to ensure vehicle purchasers retain access to their deal information. Data handling following termination is governed by the applicable Data Processing Agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYDEALRECAP'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE DEALERSHIP CLIENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL MYDEALRECAP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MYDEALRECAP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. DEALERSHIPS ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ALL DEAL DATA ENTERED INTO THE PLATFORM. DEAL SUMMARY PAGES ARE CUSTOMER EXPERIENCE TOOLS — THEY ARE NOT LEGAL DISCLOSURES AND DO NOT REPLACE OR SUPERSEDE EXECUTED PURCHASE AGREEMENTS, FINANCING CONTRACTS, OR F&I PRODUCT CONTRACTS.

10. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising under or relating to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Loudoun County, Virginia. Each party waives any right to participate in a class action, class arbitration, or any other representative proceeding.

PART II — VEHICLE PURCHASERS (CONSUMERS)

Applies to vehicle purchasers who receive a deal summary link from a MyDealRecap dealership client.

11. Consumer Terms

What MyDealRecap Is

Your deal summary page is a customer experience tool provided by your dealership through the MyDealRecap platform. It is intended to help you understand your purchase, track your coverage, and plan your service schedule. It is a convenience, not a legally binding document.

Important: Your deal summary page is for informational purposes only. For legally binding terms, always refer to your original signed purchase agreement, financing contract, and F&I product contracts.

Warranty and Mileage Estimates

Mileage estimates shown on your deal summary are calculated using an industry-average of 15,000 miles per year from your purchase date. Your actual mileage will vary. MyDealRecap does not access your vehicle's odometer or telematics in real time. You may update your current mileage directly on your deal summary page for a more accurate coverage estimate.

Your Data

Your personal information was provided to MyDealRecap by your dealership as part of processing your vehicle purchase. MyDealRecap uses this information solely to deliver and maintain your deal summary. We do not sell your information. For full details, see our Privacy Policy. To request deletion of your data, email privacy@mydealrecap.com.

No Account Required

Accessing your deal summary requires no account or password. Your unique link is private — do not share it publicly. If you believe your link has been compromised, contact your dealership or email support@mydealrecap.com.

12. Changes to These Terms

MyDealRecap may update these Terms from time to time. Dealership clients will be notified of material changes by email at least 30 days before the effective date. Updated Terms will be posted at this URL with a revised effective date. Continued use of the Services after the effective date constitutes acceptance.
